Please read these Terms & Conditions carefully before placing an order or engaging our services. By accessing our website, submitting a request, or entering into a service agreement with Idievo INC., you confirm that you have read, understood, and agreed to be bound by these terms in full.

1. INTRODUCTION

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Idievo INC. ("Idievo," "we," "us," or "our"), a C-Corporation registered in the State of Wyoming, United States.

These Terms govern your access to and use of our website at idievo.com, your engagement with our services, and any related agreements, proposals, or communications between us.

By placing an order, signing a proposal, making a payment, or otherwise engaging our services, you acknowledge that you have read and agreed to these Terms in their entirety. If you do not agree, please do not proceed with any engagement.

These Terms apply to all service engagements including but not limited to CRM setup and management, marketing automation, website development, social media management, white-label CRM, and any ancillary services provided by Idievo INC.

2. DEFINITIONS

For the purposes of these Terms, the following definitions apply:

"Services" refers to all digital services offered by Idievo INC., including CRM setup and management, marketing automation, website development, social media management, white-label CRM, and any related services as described in a proposal or service agreement.

"Client" refers to any individual, business, or legal entity that engages Idievo INC. for services.

"Agreement" refers to these Terms, together with any service proposal, statement of work, or order confirmation accepted by both parties.

"Deliverables" refers to any work product, output, or result produced by Idievo INC. in connection with a service engagement.

"Confidential Information" refers to any non-public information shared by either party in connection with a service engagement.

"Intellectual Property" refers to all creative works, code, designs, systems, automations, documentation, and other outputs produced by Idievo INC.

"Third-Party Platforms" refers to any external software, tools, or platforms used to deliver our services, including but not limited to GoHighLevel, Stripe, Google Workspace, and Make.

3. SERVICES

3.1 Scope of Services

The specific scope of services provided to each client is defined in a written proposal, statement of work, or order confirmation issued by Idievo INC. and accepted by the client. Services will be delivered as described in that document.

3.2 Service Changes

Any changes to the agreed scope of services — including additions, modifications, or removals — must be requested in writing and confirmed by Idievo INC. before work commences. Additional scope may result in revised pricing and timelines.

3.3 Client Responsibilities

The successful delivery of our services depends on the timely cooperation of the client. The client agrees to:

Provide all necessary access, credentials, assets, and information required to deliver the services

Respond to requests for feedback, approvals, or information within a reasonable timeframe

Ensure that all materials provided to Idievo INC. are owned by the client or properly licensed for use

Designate a primary point of contact for all project communications

Not interfere with or circumvent the systems, automations, or configurations built by Idievo INC. without prior written consent

Delays caused by the client's failure to fulfill these responsibilities may result in revised project timelines, and Idievo INC. shall not be held liable for such delays.

3.4 Third-Party Platforms

Many of our services are delivered using third-party platforms including GoHighLevel, Stripe, Google Workspace, and Make. The client acknowledges that:

Third-party platforms are subject to their own terms of service and privacy policies

Idievo INC. is not responsible for changes, outages, or disruptions caused by third-party platforms

The client may be required to maintain their own subscription to certain third-party platforms

Idievo INC. acts as a service provider and does not resell or guarantee the availability of third-party platforms

4. ORDERS AND ENGAGEMENT

4.1 How to Engage

Clients may engage Idievo INC. by accepting a written proposal, completing an order form, or entering into a signed service agreement. All engagements are subject to availability and final confirmation from Idievo INC.

4.2 Order Confirmation

An engagement is confirmed only upon receipt of written acceptance from Idievo INC. and, where applicable, receipt of the required deposit or first payment. Idievo INC. reserves the right to decline any engagement at its discretion without obligation to provide a reason.

4.3 Accuracy of Information

The client is responsible for ensuring that all information provided to Idievo INC. — including business details, contact information, and project requirements, is accurate and complete. Idievo INC. shall not be liable for errors or delays resulting from inaccurate or incomplete information provided by the client.

4.4 Project Kickoff

Work will commence following confirmation of the engagement and receipt of any required upfront payment. The client will be notified of the expected start date and project timeline upon confirmation.

5. PRICING AND PAYMENT

5.1 Pricing

All prices for our services are as stated in the relevant proposal, service agreement, or published pricing page. All prices are in United States Dollars (USD) unless otherwise stated. Idievo INC. reserves the right to update its pricing at any time, with changes taking effect for new engagements or renewals following reasonable notice.

5.2 Payment Terms

Unless otherwise agreed in writing, the following payment terms apply:

Project-based services: A deposit of 50% is required before work commences. The remaining balance is due upon project completion and before final deliverables are released.

Retainer and subscription services: Payment is due at the start of each billing cycle, whether monthly, quarterly, or annually as agreed.

Hourly services: Invoices are issued weekly or at the end of the agreed billing period and are due within 7 days of the invoice date.

5.3 Late Payments

Invoices not paid within the agreed payment terms are considered overdue. Idievo INC. reserves the right to:

Suspend or pause all work until outstanding balances are cleared

Charge a late payment fee of 1.5% per month on overdue balances

Terminate the engagement if payment is not received within 14 days of the due date

Pursue recovery of outstanding amounts through legal means if necessary

5.4 Disputed Invoices

If the client believes an invoice is incorrect, they must notify Idievo INC. in writing within 7 days of receipt, clearly stating the nature of the dispute. Undisputed portions of an invoice remain due and payable on the original terms.

5.5 Taxes

The client is responsible for any applicable taxes, duties, or levies imposed by their local jurisdiction on services received from Idievo INC. Idievo INC. will include applicable taxes where required by law.

5.6 Payment Methods

Payments are processed through our approved payment processors. Accepted payment methods will be specified on the invoice or payment request. Idievo INC. does not store payment card information directly.

6. CANCELLATIONS AND TERMINATION

6.1 Cancellation by the Client

The client may cancel an engagement by providing written notice to Idievo INC. The following conditions apply:

Before work commences: The client is entitled to a full refund of any deposit paid, less any administrative costs incurred.

After work has commenced: The client is liable for payment of all work completed to the date of cancellation. If the deposit does not cover the value of work completed, the client is responsible for paying the outstanding balance.

Retainer or subscription services: The client may cancel with 30 days' written notice. No refund will be issued for the current billing cycle. Cancellations take effect at the end of the notice period.

6.2 Termination by Idievo INC.

Idievo INC. reserves the right to terminate an engagement immediately and without liability in the following circumstances:

The client breaches any provision of these Terms

The client fails to make payment within the agreed terms

The client engages in conduct that is abusive, threatening, or unlawful toward Idievo INC. or its team members

Continuing the engagement would require Idievo INC. to act in violation of applicable law or its own ethical standards

Upon termination by Idievo INC. under these circumstances, no refund will be issued for work completed, and all outstanding balances remain due and payable immediately.

6.3 Effect of Termination

Upon termination or expiration of an engagement:

All access to systems managed by Idievo INC. on behalf of the client will be transitioned or revoked as agreed

The client will be provided with all deliverables completed and paid for up to the date of termination

Both parties remain bound by any confidentiality and intellectual property obligations that survive termination

7. INTELLECTUAL PROPERTY

7.1 Client-Owned Materials

All materials, assets, data, and content provided by the client to Idievo INC. remain the sole property of the client. The client grants Idievo INC. a non-exclusive license to use such materials solely for the purpose of delivering the agreed services.

7.2 Deliverables

Upon receipt of full payment for a project, all custom deliverables created specifically for the client, including website pages, automation workflows, and creative assets, are assigned to the client. The client will own these deliverables outright once all payments are settled.

7.3 Idievo Proprietary Systems

Idievo INC. retains all rights to its proprietary methodologies, frameworks, templates, systems, tools, and processes developed independently of the client engagement. These are not transferred to the client and may be used by Idievo INC. across other client engagements.

7.4 Third-Party Assets

Where deliverables include third-party assets such as stock images, fonts, icons, or platform components, the client's use of such assets is subject to the applicable third-party licenses. Idievo INC. will endeavor to use properly licensed third-party assets and will inform the client of any licensing requirements.

7.5 Portfolio Rights

Unless expressly prohibited in writing by the client, Idievo INC. reserves the right to reference the client's name and display completed work in its portfolio, case studies, website, and marketing materials.

8. CONFIDENTIALITY

8.1 Mutual Confidentiality

Both parties agree to treat all Confidential Information received from the other party with strict confidentiality. Neither party will disclose Confidential Information to any third party without the prior written consent of the disclosing party, except as required by law.

8.2 Idievo's Obligations

Idievo INC. will not disclose, share, or use the client's business information, data, or systems for any purpose other than delivering the agreed services.

8.3 Client's Obligations

The client will not disclose Idievo INC.'s proprietary methodologies, pricing, systems, or internal processes to any third party without prior written consent.

8.4 Survival

Confidentiality obligations survive the termination or expiration of any engagement for a period of two (2) years.

9. REPRESENTATIONS AND WARRANTIES

9.1 By the Client

The client represents and warrants that:

They have full legal authority to enter into this agreement

All materials and information provided to Idievo INC. are owned by the client or properly licensed

They will not use Idievo INC.'s services for any unlawful, fraudulent, or harmful purpose

They will comply with all applicable laws and regulations in connection with their use of our services

9.2 By Idievo INC.

Idievo INC. represents and warrants that:

Services will be delivered with reasonable skill, care, and professionalism

We hold the necessary rights to deliver the services as described

We will comply with all applicable laws and regulations in the delivery of our services

9.3 Disclaimer of Additional Warranties

Except as expressly stated in these Terms, all services are provided "as is" and "as available." Idievo INC. makes no additional warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or guaranteed outcomes such as specific revenue increases, search engine rankings, or lead generation results.

10. LIMITATION OF LIABILITY

10.1 Limitation

To the maximum extent permitted by applicable law, Idievo INC.'s total liability to the client for any claim arising out of or related to a service engagement shall not exceed the total fees paid by the client to Idievo INC. in the three (3) months preceding the claim.

10.2 Exclusion of Consequential Damages

Idievo INC. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunity, or reputational harm, even if Idievo INC. has been advised of the possibility of such damages.

10.3 Force Majeure

Idievo INC. shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, third-party platform outages, internet failures, or other events of force majeure.

11. INDEMNIFICATION

The client agrees to indemnify, defend, and hold harmless Idievo INC. and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:

The client's breach of these Terms

The client's use of our services in violation of applicable law

Any third-party claims arising from materials or content provided by the client

Any unauthorized use of third-party intellectual property by the client

12. GOVERNING LAW AND DISPUTE RESOLUTION

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

12.2 Dispute Resolution

In the event of a dispute arising out of or related to these Terms or any service engagement, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through binding arbitration or the courts of Wyoming, USA.

12.3 International Clients

For clients located outside the United States, these Terms and any disputes arising from them shall still be governed by Wyoming law. By engaging our services, international clients consent to this governing law.

13. ACCEPTABLE USE

The client agrees not to use Idievo INC.'s services to:

Violate any applicable local, national, or international law or regulation

Transmit or distribute spam, malware, or harmful content

Infringe upon the intellectual property rights of any third party

Engage in fraudulent, deceptive, or misleading business practices

Harass, threaten, or harm any individual or group

Circumvent, disable, or interfere with any security features of our systems

Attempt to gain unauthorized access to any system or data

Violation of this section may result in immediate termination of services without refund and may be reported to relevant authorities.

14. COMMUNICATIONS

14.1 Primary Communication

All formal communications between Idievo INC. and the client will be conducted via email. The client is responsible for ensuring that their email address remains current and active throughout the engagement.

14.2 Response Times

Idievo INC. will endeavor to respond to all client communications within 1–2 business days. Response times may vary during public holidays or periods of high demand.

14.3 Project Communications

All project-related requests, change requests, and approvals must be submitted in writing via email or the designated project management channel. Verbal agreements are not binding.

15. ENTIRE AGREEMENT

These Terms, together with any proposal, statement of work, or service agreement issued by Idievo INC. and accepted by the client, constitute the entire agreement between the parties with respect to the subject matter hereof. They supersede all prior discussions, representations, and agreements, whether written or oral.

16. SEVERABILITY

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions of these Terms will continue in full force and effect.

17. WAIVER

The failure of either party to enforce any provision of these Terms on any occasion does not constitute a waiver of that party's right to enforce such provision in the future. No waiver is effective unless made in writing and signed by the waiving party.

18. AMENDMENTS

Idievo INC. reserves the right to update or amend these Terms at any time. When material changes are made, we will:

Update the "Last Updated" date at the top of this page

Notify active clients via email with reasonable advance notice

Display a notice on our website where required

Your continued engagement with Idievo INC. after the effective date of any amendments constitutes your acceptance of the revised Terms.
