These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("Client") and Idievo Inc. ("Idievo," "we," or "us"). By engaging our services, signing a proposal, or paying for a subscription, you agree to be bound by these Terms.
1. Scope of Services
Idievo Inc. provides a range of professional IT services, including but not limited to:
- Web & App Development
- Digital Marketing & Strategy
- CRM Setup & Automation
- Graphic Design & Branding
- Technical Consulting & Maintenance
The specific details, deliverables, and timelines for your project will be outlined in your specific Service Proposal or Invoice. In the event of a conflict between a Proposal and these Terms, the Proposal shall take precedence regarding the scope of work.
2. Client Obligations
To ensure successful project delivery, you agree to:
- Cooperation: Provide necessary access to third-party accounts (hosting, domain registrars, social media) required to perform the work.
- Assets: Timely provision of content, images, logos, and feedback. Delays in providing these assets may result in project delays.
- Legality: Ensure that all materials you provide to us do not infringe on any third-party intellectual property rights or violate any laws.
3. Intellectual Property Rights
We operate on a "Work for Hire" basis regarding final deliverables:
- Client Ownership: Upon full payment of all fees, you are granted full ownership of the final deliverables (e.g., the finished website, the logo files, the marketing strategy).
- Idievo Ownership: Idievo retains ownership of our background technology, pre-existing code libraries, methodologies, and preliminary drafts that were not selected for final delivery.
- Portfolio Rights: Unless a Non-Disclosure Agreement (NDA) is signed, we reserve the right to display completed works in our portfolio to demonstrate our capabilities.
4. Payments & Subscriptions
Idievo offers both one-time project fees and recurring subscription models (retainers).
a. Authorization
By providing a payment method, you authorize Idievo Inc. to charge the agreed-upon fees. We use secure, PCI-compliant processors (e.g., Stripe, Wise, Mercury) and do not store sensitive card data.
b. Automatic Renewal
Important: If you purchase a recurring service (e.g., monthly maintenance, SEO retainer), your subscription will automatically renew at the end of each billing cycle to ensure service continuity.
You will be charged the standard rate for the next cycle unless you cancel the subscription before the renewal date.
c. Cancellation
You may cancel your subscription at any time by contacting us. Cancellation stops future billing, but services will continue until the end of the current paid period. We do not provide prorated refunds for mid-cycle cancellations.
5. Refunds
Our Refund Policy is a separate document that governs all return requests. In summary: We provide refunds only if we fail to deliver the agreed scope of work due to our own fault. Refunds are not provided for "change of mind" once work has commenced. Please refer to our full Refund Policy for details.
6. Confidentiality
We understand the sensitive nature of IT projects. Idievo agrees to:
- Keep all client trade secrets, data, and login credentials strictly confidential.
- Use client data solely for the purpose of delivering the service.
- Not disclose your confidential information to third parties without your written consent, except where required by law.
7. Warranties & Disclaimers
Service Warranty: We warrant that our services will be performed in a professional manner consistent with industry standards.
Disclaimer: Except as expressly stated, our services are provided "as is." Idievo does not guarantee specific business results (e.g., specific Google rankings or sales figures) as these depend on market factors beyond our control. We are not responsible for downtime caused by third-party hosting providers or software updates released by vendors (e.g., WordPress, Shopify) after our work is handed over.
8. Limitation of Liability
To the fullest extent permitted by Wyoming law:
- Idievo Inc. shall not be liable for any indirect, incidental, or consequential damages (including loss of data or profit).
- Our total cumulative liability for any claim arising out of these Terms or the Service shall not exceed the total amount paid by you to Idievo in the three (3) months preceding the claim.
9. Termination
We reserve the right to terminate our service agreement if:
- You fail to make payments on time.
- You are abusive or threatening to our team members.
- You request us to perform illegal or unethical acts.
Upon termination for cause, any outstanding balance becomes immediately due.
10. Governing Law
These Terms are governed by the laws of the State of Wyoming, USA. Any legal action or proceeding relating to your access to or use of the Service shall be instituted in a state or federal court in Wyoming. You agree to submit to the jurisdiction of, and agree that venue is proper in, these courts.
